1. INTRODUCTION

RoomsNet.com is the official web site (Site) of RoomsNet International Limited, which is primarily a lodging reservation engine. RoomsNet Member Club (RNMC) is the membership programme of RoomsNet International Limited (RoomsNet). RNMC presently lets you earn ‘loyalty discounts’ through the Loyalty programme. Numerous ways of earning loyalty discounts are described on the Site and RoomsNet members (Members) can redeem these earned loyalty discounts when they make a hotel booking on RoomsNet.com. RNMC allows Members to interact with each other and post content on ‘Member Galleries. (the content posted/uploaded on Member Galleries will hereinafter be referred to as ‘Content’ means holiday destination reviews, text, images, videos, photographs, comments, information, graphics and any other materials sent by our Member customers who wish to share their travel experiences in relation to hotel / accommodation bookings purchased through us). By accessing and using RNMC you expressly agree to accept and be bound by the most current legally binding Terms and Conditions and RoomsNet Privacy Policy which are available on RoomsNet.com. If you do not agree with these Terms and Conditions and Privacy Policy you should leave RNMC and discontinue use of RNMC immediately. Should you wish to become a Member in order to receive numerous advantages available to Members and be in touch with other Members, you are to read and accept these Terms and Conditions by clicking on the requisite link during the Registration process.

The Terms and Conditions and Privacy Policy contain the guidelines for acceptable access or use of RNMC, your rights, obligations and limitations regarding such access or use of the RNMC as well as participating in the RNMC. RoomsNet reserves the right to amend or modify the Terms and Conditions contained herein and/or the Privacy Policy at any time in its sole discretion without notice. Unless otherwise specified, any changes or modifications will be effective immediately upon posting of the amendments on the Site and RNMC. Your continued use of RNMC is deemed as your acceptance of such amended Terms and Conditions and Privacy Policy. It’s your responsibility to review the Terms and Conditions and Privacy Policy from time to time. If you do not agree to any amended Terms and Conditions and Privacy Policy, you must stop using RNMC at once.

2. SIGNING UP FOR MEMBERSHIP

2.1 |
When you sign up as a Member you provide us information which you warrant to be true. You may amend the information provided at the time of registration by accessing the Member Profile in your Member Account at anytime.

You are solely responsible for all the activity in your Member Account and for any activity that take place using your Member Account. Your Account password must be kept secure. You agree not to use another’s Member Account. You must notify RoomsNet immediately in the event of any breach of security or unauthorised/improper use of your Member Account. RoomsNet shall not be liable for damages and losses suffered by you due to unauthorised/improper use of your Member Account; however you may be held liable for damages and losses caused to RoomsNet by such unauthorised/improper use.

When you become a Member you are given a password which you may change at you will. It’s your responsibility to maintain the confidentiality of your password. You agree not to use another’s Member Account, e-mail, username, or password at any time or to disclose your password to any third party. You further agree to accept all risks of unauthorised access to your Member Account, password or any information you provide to RNMC and/or the Site.

Membership in RoomsNet Loyalty Program is open to any person over 18 years of age who wishes to maintain a Member Account with us.
|
2.5 |
RoomsNet reserves the right to reject any application for Membership.
|
2.6 |
Your Member Account is linked to your email address. In order to earn and redeem Loyalty Discounts a Member should ensure that he/ she uses the same email address. You may change the information provided at the time of registration by accessing the Member Profile in your Member Account at anytime.

2.7 |
Membership in RoomsNet Loyalty Program is not transferable.
|
2.8 |
Membership in RoomsNet Loyalty Program will terminate automatically upon the death of the Member. Loyalty Discounts earned but not redeemed at the time of death, will be automatically forfeited.

2.9 |
A Member can only have and/or use one e-mail address for all intent and purposes with regard to RoomsNet. RoomsNet expressly reserves the right to disregard use of subsequent e-mail addresses by a Member. |

3. ROOMSNET LOYALTY PROGRAM
|
Participation in the RoomsNet Loyalty Program is subject to the RoomsNet Loyalty Program Rules (Rules). You agree to accept and be bound by the most current Rules which would be made available on www.RoomsNet.com. |
| 3.1 EARNING AND REDEEMING LOYALTY DISCOUNTS |
3.1.1 |
A Member earns Loyalty Discounts when making a reservation through www.RoomsNet.com. A Member can then redeem Loyalty Discounts so earned, whilst making subsequent reservations via www.RoomsNet.com, provided it is so redeemed within 24 months of the Loyalty Discounts being available for redemption (the said 24 month period is known as the Redeemable Period). Any Loyalty Discounts not redeemed by a Member within the Redeemable Period shall be treated as forfeited upon conclusion of the Redeemable Period. However Loyalty Discounts earned by a Member for past reservations in the years 2006 and 2007 unless redeemed on or before 31st December 2008 shall be considered forfeited.

3.1.2 |
If you become a Member on or after 1st March 2008, you will be entitled to Loyalty Discounts for future bookings (as well as past bookings made within 30 days prior to becoming as a Member).
|
3.1.3 |
Sign up Bonus - Members who earn Sign up Bonus ( Loyalty discounts of 7 USD awarded at the time of becoming a Member) in the year 2007 or 2008 unless redeemed on or before 31st December 2008 shall be considered to have forfeited the Sign Up Bonus discounts.
|
3.1.4 |
RoomsNet reserves the right to adjust the amount of Loyalty Discounts earned in the event a reservation is amended, modified, tantamounts to fraudulent reservation and/or abuse of the system:

3.1.4.1
|
If a reservation is canceled, the Loyalty Discounts earned for that particular reservation shall be canceled. If a Member redeems Loyalty Discounts in relation to a particular reservation and subsequently cancels such a reservation, the Loyalty Discounts which the Member redeemed in relation to such cancelled reservation shall be credited back in favour of the Member and the cancellation charge shall be calculated in relation to the total booking value of that particular reservation.

3.1.4.2 |
In the event of a No Show, the Loyalty Discounts earned for that particular reservation shall be canceled. If a Member redeems Loyalty Discounts in relation to a reservation and later there is a No Show in relation to such reservation, then the Loyalty Discounts which the Member redeemed in relation to such reservation shall be credited back in favour of the Member and the No Show charge shall be calculated in relation to the total booking value of that particular reservation.

3.1.4.3 |
If a Gift voucher is used when making a booking and subsequently the booking is cancelled the redeemed value of the utilised Gift Voucher is deemed cancelled.
|
3.1.4.4 |
If RoomsNet at its sole discretion determines that the reservation process and/or the Loyalty Discount process is being abused, RoomsNet shall then cancel the said reservations and/or the Loyalty Discounts so earned. |
|
| 3.2 EARNING LOYALTY DISCOUNTS: |
3.2.1 |
Loyalty Discounts earned by the Member will be credited to the Member Account allocated to such Member.
|
3.2.2 |
Recommend RoomsNet to Friends: You can also earn Loyalty Discounts by recommending RoomsNet to family, friends or workmates subject to the following conditions.
|
3.2.2.1 |
A Member can recommend RoomsNet to any number of family members, friends or workmates and earn at the rate of US$ 1 (United States dollar One) per friend up to a maximum of US$ 25. (United States dollars Twenty Five). The Member should recommend RoomsNet through "Recommend to a Friend" page. The link to the "Recommend to a Friend" page will be available on every page of www.RoomsNet.com.

| 3.3 REDEEMING LOYALTY DISCOUNTS |
3.3.1 |
A Member can only redeem Loyalty Discounts to pay for part or all of his /her reservation made through www.RoomsNet.com. Loyalty Discounts may not be exchanged or redeemed for cash. The maximum amount of Loyalty Discounts that can be redeemed at any one time shall be 10% (ten percent) of the total room cost.

A Member will be entitled to redeem the Loyalty Discounts he/she has earned only if the Member is logged in at the time he/she is making the reservation or enters the password, if not logged in and the Loyalty Discounts which the Member has earned are shown in the Member Account as -“Balance Loyalty Discount (Available to Redeem).” |
3.3.3 |
If a Member wishes to redeem the Loyalty Discounts, the Member will be given the option of doing so at the point of making the payment for a reservation. Please note that the Loyalty Discounts would be redeemable in the currency in which the Member makes the payment for the reservation i.e. if the reservation is made in USD or EUR and a Member decides to redeem his / her Loyalty Discounts (amount to be redeemed shall be determined by the Member), then the Loyalty Discounts will be converted from the base currency (USD) based on that day’s exchange rate. |
3.3.4 |
4 Loyalty Discounts are calculated on the Net Value of a booking after redemption of Loyalty Discounts by the Member. For instance if a Member makes a booking for the value of USD 100 and redeems USD 10 from Loyalty Discounts earned, then the Member will earn Loyalty Discounts on USD 90 of the booking value

| 3.4 VIEWING LOYALTY DISCOUNTS DETAILS |
3.4.1 |
A Member may view his / her Member Account by logging into his/her Member Account through the links which would appear on http://RoomsNet.com. However please note that a Member can view his/her Loyalty Discount Details, only if he/she has activated the Member Account.

3.4.2 |
Loyalty Discount details would provide details inter alia of:

All Loyalty Discounts earned by a Member (inclusive of Discounts earned based on bookings made after 1st February 2006 and Discounts earned in relation to bookings made by friends to whom RoomsNet was recommended by a Member) would be shown as "Total Loyalty Discounts Earned".

3.4.2.2 |
Value of Loyalty Discounts earned but not “Realised” (since the check-out date has not passed in relation to the reservation for which the Loyalty Discounts were earned) would be shown as: “Pending Transaction (Unrealized).”

Value of Loyalty Discounts which have been used would be shown as: “Redeemed Loyalty Discounts.”
|
3.4.2.4 |
Value of Loyalty Discounts available to be used as at current date would be shown as: “Balance Loyalty Discounts (Available to Redeem)”.

3.4.3 |
Each time a booking is confirmed, the amount of Loyalty Discounts the Member has earned for that booking is shown as “Pending Transaction (Unrealized)”. The Loyalty Discounts which are shown as “Pending Transaction (Unrealized)” gets added to Balance Loyalty Discounts (Available to Redeem) the day after the specified check-out date of a booking in relation to which a Member has earned Loyalty Discounts. Loyalty Discounts which are shown as “Balance Loyalty Discounts (Available to Redeem)” are the Loyalty Discounts which can be redeemed at the time you make a new reservation through www.RoomsNet.com.

3.4.4 |
A Member may view his /her Loyalty Discount Details (i.e. where detailed information on Loyalty Discounts earned; redeemed etc is provided) in either Sterling Pounds (GBP); United States Dollars (USD) or Euros (EUR). However the base currency for the Loyalty Member Account shall be USD. The conversion for the other currencies (USD, EUR) will be based on the exchange rate on the particular day on which the Member views the balance or a Member makes a reservation and wishes to redeem Loyalty Discounts in either USD or EUR.

3.4.5 |
Accrued Loyalty Discounts do not constitute property of the Member. Loyalty Discounts accrued by a Member are for the Member's benefit only and may not be transferred to anyone.
|
3.4.6 |
If more than one Member Account is assigned to an individual (as a result of registering more than once using different email addresses), the Loyalty Discounts he/she earns will be allocated to a Member Account based on the email address the Member provides our system at the time he/she makes a reservation. Redemption of Loyalty Discounts will also depend on the email address provided by a Member at the time of making a new reservation i.e. the Loyalty Discounts which would be available for redemption would be from the Member Account which corresponds to the email address provided at the time of making the new reservation. RoomsNet usually does not permit the amalgamation or addition of Loyalty Discounts in two accounts even though the registered Member may be one and the same person, unless expressly permitted .

3.4.7 |
A Member who has made bookings via www.RoomsNet.com using multiple email addresses may register using one such email address and earn Loyalty Discounts in relation to the bookings made using that email address. Later, the Member may change the email address which he/she used to register, to another email address (provided the Member has not registered using this email address and provided we have not already allocated a Member Account in relation to that new email address). Subsequent to changing the email address as explained above, the Member should contact our Customer Support and earn Loyalty Discounts in relation to the bookings he/she may have made using the new email address.

3.4.8 |
If a Member Account is inactive for the duration of 24 months, the accrued Loyalty Discounts shall be deemed as expired. Expired Loyalty Discounts cannot be redeemed or used. A Member Account is considered inactive if no activity is performed which results in earning or redeeming of Loyalty Discounts.
|
3.4.9 |
The 24 month period always starts from the last date on which the Member has either earned or redeemed Loyalty Discounts, whichever occurs last.
|

|
4. PROPER USE OF RNMC
|
4.1 |
You may access the RNMC only as permitted herein. RoomsNet reserves all rights not expressly granted.
|
4.2 |
RNMC can be accessed only for your personal information and use only.
|
4.3 |
You are solely responsible for creating backup copies of and replacing any Content you post or display on RNMC at your sole cost and expense. RoomsNet shall not be held liable or responsible for loss of Content in any manner whatsoever.
|
4.4 |
You will comply with all applicable national and international laws in the use of and all activities in relation to the Site or RNMC. However RoomsNet reserves the right to discontinue your use of the Site and/or RNMC in whole or part at any time with or without notice, without attributing a reason.
|
4.5 |
You assert, represent and warrant that: (i) you own the Content posted/displayed/uploaded by you on RNMC or in the alternative you have the right and permission to grant us the limited license, as set out below and (ii) the posting /displaying/uploading your Content on RNMC does not violate the privacy rights, copyrights or any other proprietary rights of any third party. You agree to pay for all royalties, fees, and any other monies owing to any person by reason of any Content posted /displayed/uploaded by you on RNMC. |

5. MY SHORT LIST
|
|
You can select and shortlist the hotels from the myriad hotels available at our Site, based on your interests, preferences and requirements. You can easily compare prices and other details of your short-listed hotels. You can also save it for future reference and email it to your friends and family members.
|
|
|
6. NEXT TRIP
|
|
You can have your holiday destinations and impending trips in the “My Trips” section displayed to other Members with common interest in the same destination. Such Members will only see your user name, country and the period you wish to visit the said common destination. None of your identifiable information will be displayed. The ‘Next trip’ feature is entirely optional. You can opt in for this feature through the 'My settings' tab in your member account by setting ' My Travel Map' to public. Having opted to be added on to Member discussion on the ‘Next Trip’, you may at any time opt out should you wish so.

7. Public Profile
|
|
In your public profile all features are public except your travel map. ‘My Travel Map’ contains the destinations you have travelled to or planning to travel in future. This is by default set on private. You have the option of making ‘My Travel Map’ public by going to ‘My Settings’ tab in your ‘Private Profile section’. By making the travel map public you give the consent to allow your travel details to be public on our Site.
All other features of your public profile which are set on ‘public’ by default can be made private by going to ‘My settings’ tab in you private profile section. |

8. Gift Box
|
| All Members who have made at least a one time reservation can use the “Gift Box” feature. A Member’s Gift Box Account consists of the following categories. |
8.1 |
Discounts awarded by RoomsNet.
|
|
8.1.1
|
RoomsNet awards you Discounts when you activate your Member Account or make a booking. Upon activation you will receive discounts worth 150 USD. The discounts vary with the number of bookings made. Every 1st booking entitles you to 150 USD. Thereafter for every consecutive booking you receive 75 USD. Every 5th entitles you to an additional 375 USD *.

8.1.2 |
You can only use these Discounts to send Gift Vouchers (in multiples of 7 USD) to your friends. You may send the Gift Voucher with a Greeting card.
|

|
Cannot be redeemed when making a booking.
|
|
8.1.4
|
The Discounts will expire upon completion of 1 year from the date of receipt if there is no activity. i.e you have either failed to send Gift Vouchers or make a booking with RoomsNet within I year of receiving the Discounts.

Gift vouchers received from friends

You can redeem the value of these Gift vouchers when you make a booking subject to a maximum of 7 USD per booking; or

Send Gift Vouchers received to your friends in multiples of 7 USD. You may send the Gift Voucher with a Greeting card.

If you redeem a Gift Voucher when you make a booking and subsequently cancel the booking, the Gift Voucher is deemed expired.

|
If the Gift Voucher you redeem is of a higher value than your booking value, then the entire value of the Gift Voucher is considered to be redeemed.
|
|
8.2.5
|
The Gift Vouchers will expire upon completion of 2 years from the date of receipt if there is no activity. i.e you have either failed to send gift or utilise the Gift Voucher when making a booking with RoomsNet within 2 year of receiving the Gift Vouchers.

|
8.3 |
Loyalty Discounts.

|
You can transfer your Loyalty Discounts (which is available to redeem) to your Gift Box Account in multiples of 7 USD.
|
8.3.2 |
Once you transfer your Loyalty Discounts to the Gift Box Account, it cannot be transferred back to your Loyalty Discount Account.
|
|
8.3.3
|
You can only use the Loyalty Discounts transferred to your Gift Box Account to send Gift Vouchers in multiples of 7 USD to your friends. You may send the Gift Voucher with a Greeting card.
|
|
8.3.4
|
The Discounts will expire upon completion of 1 year from the transfer, if there is no activity within 1 year of transferring Loyalty Discounts to your Gift Box Account.

9. MEMBER GALLERIES
|
9.1 |
You can upload photograph images or videos of your hotel or holiday destination. We will then save those images and videos as Content only if found safe upon a scan for virus. Any images or videos with virus will be disposed of with no liability. There is no limitation on the number of images or videos you can upload.
|
9.2 |
Images can consist of your hotel or holiday destination.
|
9.3 |
A hotel or holiday video should consist of video(s) of your holiday hotel you booked through our Site or your holiday destination.
|
9.4 |
An Album may consist of a series of images and/or holiday/hotel videos together with a brief description of your holiday, all uploaded on a single occasion.
|
9.5 LOYALTY DISCOUNTS FOR CONTENT
|
|
9.5.1
|
Each image which receives 5 thumbs-up from other Members entitles you to receive 0.75 USD per image.
|
9.5.2 |
Each Album description which receives 5 thumbs-up from other Members entitles you to receive Loyalty Discounts of 0.75 USD per description.”
|
|
9.5.3
|
Each hotel or holiday video which receives 10 thumbs-up from other Members entitles you to receive Loyalty Discounts of 7 USD per holiday video.
|
|
9.6 |
A Member may give unlimited thumbs-up for Content of other Members, which will be displayed on the Receiving Member’s Account. However in order to calculate Loyalty Discounts, as between two Members the maximum number of thumbs-up a Member can receive is limited to 12 thumbs-up per year.
|
9.7 |
You may remove your Content from RNMC at any time subject to 6. 9 below. If you choose to remove your Content, the license granted above will automatically expire, however you agree that RoomsNet may retain archived copies of your Content.
|
9.8 |
In the event you are credited with Loyalty Discounts for the Content (as described above), you agree not to remove such Content from RNMC for a minimum period of 90 days from the date of receiving the Loyalty Discounts.
|

10. RESTRICTIONS ON THE USE OF RNMC
|
10.1 |
The material, text, graphics, data, videos, photos or software programs are available/posted /displayed ‘as is’. Unless and except as may be provided herein you agree not to copy, publish, disseminate, broadcast, display, distribute, transmit, reproduce, grant license, transfer, assign, sell, down load, or otherwise exploit any Content, material, text, graphics, data, videos, photos or software programs in the RNMC in any manner whatsoever without the express permission of RoomsNet.
|
10.2 |
You agree not to use the RNMC for any purpose other than your personal purpose without the prior approval of RoomsNet. Such purposes other than personal shall include but not be limited to sale, solicitation or advertisement of or on the Content. RNMC shall not be used for any form commercial solicitation whatsoever. Restrictions on personal use do not include uploading original Content.

10.3 |
RNMC is for personal use by Members only. RNMC cannot be used in relation with any activities other than your personal use or those that are specifically endorsed or approved by RoomsNet. You are strictly prohibited form collecting or attempting to collect email addresses or personal information of Members including but without limitation to, phone numbers, postal addresses, social security numbers and credit card numbers by electronic or other means. Sending unsolicited emails, junk mail, spam, chain letters, pyramid schemes, unsolicited mass mails, instant message or other unsolicited communications is prohibited.
|
10.4 |
Unauthorised framing of or setting up text hyperlinks (Links) to RNMC is prohibited. Any commercial advertisements, affiliate Links, and other forms of solicitation may be removed from Member Accounts and/or RNMC without notice and may even result in termination of your Membership privileges. RoomsNet expressly reserves the right to take appropriate legal action for any illegal or unauthorised use of RNMC.
|
10.5 |
You shall not register for more than a single Membership or obtain Membership for any other person other than you or obtain Membership for a group or entity.
|
10.6 |
Please select cautiously the Content you post on RNMC. You agree that your Content may not include any personal details of telephone numbers, street addresses and last names. Your Content shall not contain any sexually explicit, nudity, obscene, lewd, excessively violent, harassment, inaccurate, unreliable, threatening abusive, racist, inappropriate or otherwise objectionable subject matter. Your Content shall not violate or infringe upon the rights of any third parties, including intellectual property rights, privacy, or other personal/proprietary rights or contain defamatory or otherwise unlawful material.

10.7 |
In addition to the above you agree not to
|

(a)
|
solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial, unlawful or unsolicited purposes;
|
(b) |
impersonate any person or entity, or falsely state or otherwise misrepresent yourself, your age or your affiliation with any person or entity;
|
|
(c)
|
upload, post, transmit, share, store or otherwise make available Content that constitutes encouragement or provide instructions for criminal/illegal activities, purchase of illegal weapons or substances, create/transmit computer viruses, child pornography, tortious activities that violate the rights of any party, or that would otherwise create liability or violate any national, regional or international law;
|
(d) |
use or attempt to use another Member’s Account;
|
|
(e)
|
use RNMC in a manner inconsistent with any of the applicable laws and/or regulations;
|
(f) |
use RNMC to harass, sexually exploit / abuse or provide link to adult improper websites;
|
|
(g)
|
provide, post or upload Content in violation of third party owned copyrighted work
|
(h) |
Not to upload/post photographic images or videos which are a duplicate of such photographic image or video whether uploaded/posted by you or another Member. In any event such duplicate photographic images or videos will not be eligible to receive Loyalty Discount.
|
|
(i)
|
transmit or otherwise transfer any web pages, data or content found on RNMC to any other computer, server, web site, or other medium for mass distribution or for use in any commercial enterprise;
|
(j) |
restrict or inhibit any other user from using, accessing and enjoying RNMC.
|
|
10.8 |
You undertake and agree that materials constituting your Content or otherwise posted, transmitted, or shared by you on RNMC are not of a personal nature of you or your friends. Further you covenant and warrant that photographs, videos, Content or otherwise posted, transmitted, or shared by you on RNMC are taken by you/ your friends, or original art or graphics/animation created by you and/or your friends and does not contain photographs of other persons that you have posted without that person's consent.

10.9 |
You retain all proprietary rights in your Content; RoomsNet does not claim ownership in your Content. However by displaying /posting your Content on RNMC it is deemed that you grant RoomsNet a limited non-exclusive, perpetual, transferable worldwide license ( however such license does not grant RoomsNet the right to sell your Content) to use, publish, disseminate, distribute your Content totally or partly in any format, including without limitation print and electronic format. Thereby you also waive your moral rights (including the right to be identified as author and the right to object to derogatory treatment of the Content).

You agree not to copy, modify, translate, publish, broadcast, transmit, distribute, display or sell any or part of the Content posted/displayed by other Members.

You represent and warrant that you will not upload, display or submit any data, images, photographs, videos, graphics, sound files or any other materials whatsoever in connection with Content that is contrary to these Terms and Conditions and/or Privacy policy as may be modified from time to time or the relevant national, regional international laws and regulations.

You will not do any act that imposes a burden or load on our infrastructure that RoomsNet deems in its sole discretion to be unreasonable or disproportionate to the benefits RoomsNet obtains from by your use of the Site.

11. COMPLAINTS

You are solely responsible for for the Content you post, display, store or upload on RNMC and all material and information you transmit to others as well as its consequences. RoomsNet takes no responsibility and assumes no liability for any Content posted, displayed, or uploaded by you or any third party or for any loss or damage thereto or thereby. RoomsNet does not endorse, have control over or assume any responsibility for monitoring RNMC for Inappropriate Content (inappropriate Content means inaccurate, unsuitable, illegal, offensive or sexually explicit material, data, images, photographs, graphics, videos, services or violations of copyright or other proprietary rights). Although RoomsNet reserve the right, and have the absolute discretion, without any liability whatsoever to remove, screen or edit without notice any Content posted, displayed, uploaded or stored on RNMC at any time without assigning a reason. It nevertheless does not assume any responsibility for the Content and bear no obligation to edit or remove any Inappropriate Content.

Notwithstanding the aforesaid prohibition, Content and/or information or material transmitted to others may constitute Inappropriate Content for which RoomsNet assumes no responsibility or liability. Should you become aware of misuse of RNMC by any person, please inform us immediately members@RoomsNet.com. or click on the " Inappropriate Content" link at the bottom of any RNMC page about such Inappropriate Content of which we may at our sole discretion take corrective measures pursuant to our investigation. Such corrective measure may include but not be limited to removing the Inappropriate Content with or without notice to you or to the relevant third party or parties.

13. INTELLECTUAL PROPERTY RIGHTS

We consider it very important to respect the rights of others. You agree not to use RNMC in manner which constitutes infringement of other persons’ intellectual property rights, proprietary, privacy rights and/or interference with another’s lawful use of RNMC.

You agree not to modify, disseminate and reproduce howsoever any Marks or other proprietary matter owned by third parties without prior written permission of the owner of such Marks.

You shall be solely liable for any damages resulting from any infringement of copyright, trademark, or other proprietary right, or any other harm resulting from your use of the Site/RNMC.

14. ELIGIBILITY

The use or participation in RNMC is invalid where prohibited. By using and/or participating in RNMC you represent and warrant that you are over 18 years of age and all information which you submit when registering for Membership is truthful and correct. If we are of the opinion you are under 18 years of age your Membership will be deactivated without further notice.

You may create text hyperlink (Link) to your Member Account on RNMC for your personal purposes, provided such a Link does not reflect RNMC and/or RoomsNet or any of our services in an inaccurate, misleading, defamatory or otherwise offensive manner and provided further that the linking site does not contain any adult, fraudulent, invasive, harassing, copyright violated, illegal, derogatory material or otherwise objectionable material. This limited right may be revoked at any time with or without notice and without assigning a reason at the sole discretion of RoomsNet. The logo, trademark, get-up or other proprietary materials of RNMC or RoomsNet shall not be used by you to Link to RNMC without the express written permission of RoomsNet. Further, you shall not frame or employ framing techniques to encircle any RNMC / RoomsNet trademark, logo, trade dress, get-up, layout design, or other materials of a proprietary nature, including but not limited to the images, stylised text at RNMC, without express prior written consent of RoomsNet, which we are not obliged to grant.

16. SEVERABILITY

If any clause(s) of these Terms and Conditions are deemed inoperative or invalid or otherwise unenforceable for any reason, then the said clause(s) shall be deemed severable from these Terms and Conditions and shall not affect the validity and enforceability of the remaining clauses, which shall continue to be effective.

17. WARRANTY DISCLAIMER

RoomsNet is not responsible for any unauthorised access to Member Account, alteration, error, omission, deletion, interruption, defect, delay, theft or destruction of Content.

RoomsNet is not responsible for any failure of operation of computer online systems, transmission, telephone network, communications line, technical malfunction of servers, providers, computer equipment, telephone equipment software, traffic congestion or e-mail which may be due to the services of RNMC and/or the Site being temporarily unavailable from time to time for maintenance or other reasons.

Although RoomsNet provide guidelines for the Content, we do not control and are not responsible for the Content posted or displayed or shared by Members. We are not responsible and do not assume liability for the Content which may be derogatory, inappropriate, obscene, unlawful or otherwise offensive. RNMC does not guarantee any confidentiality with respect to any Content. You agree that your use of the RNMC and/or the Site shall be at your risk. All Content is viewed and used by you at your own risk and we do not warrant the accuracy or reliability of
the Content or any information therein. The views expressed are those of the individual Members and not necessarily those of Roomsnet. This Warranty Disclaimer is applicable to the fullest extent permitted by law.

Although RoomsNet reserve the right, and have the absolute discretion, without any liability whatsoever to remove, screen or edit without notice any information posted on ‘Next trip’ at any time without assigning a reason. It nevertheless does not assume any responsibility for the said information and bear no obligation to edit or remove information.

Neither RoomsNet nor the Member who post information on ‘Next Trip’ assumes any responsibility or liability for the said information so posted or for any loss or damage caused to any third party thereby or by relying on such information. RoomsNet does not guarantee the accuracy of such information.

18. LIMITATION OF LIABILITY

Whether in contract, warranty, product liability, strict liability, tort (including negligence, active, passive or imputed) or other theory, in no event shall RoomsNet and/or the accommodation providers/hotels be found liable for any loss or damage which arises out of or is in any way connected with any of the described functions or use of RNMC, its material or the Content. You acknowledge that if no payment is paid to RoomsNet for the services of RNMC, you shall not be entitled to any damages of any kind from RoomsNet, regardless of the cause of action.

Roomsnet International Limited, as a policy, does not edit the Content provided by Members. However, we reserve the right, and have absolute discretion, without any liability whatsoever to remove, screen or edit without notice any Content posted or stored on RNMC at any time and for any reason.

You specifically acknowledge that RoomsNet shall not be liable for the material in the RNMC, the Content or the defamatory, derogatory or unlawful conduct of or alleged infringement or violations of intellectual property rights or proprietary rights by any third party and that the risk of harm or damage from the foregoing rests entirely with you. You use RNMC at your own risk.

Whether in contract, warranty, strict liability, tort or other theory, in no event shall RoomsNet and/or the Member who posted information/tips and/or the accommodation providers/hotels be found liable for any loss or damage which arises out of or is in any way connected with information/tips.

19. AMENDMENT

Notwithstanding any terms to the contrary contained in these Terms and Conditions, RoomsNet reserves the right in its sole discretion without any notice or reasoning or liability to you to amend any and all, including but not limiting to content, materials, data, text, images, photographs, software, reference to any products, services or other information and other items used or contained in RNMC or the Site or in the services and applications offered through RNMC at any time.

20. AGREEMENT

This document constitutes the entire agreement between the Member of RNMC and Roomsnet with respect to use of RNMC and the Site and supersedes all prior agreements between us if any.

Nothing in these Terms and Conditions is intended to confer any rights on any third parties.

Any delay or forbearance or failure by us in enforcing any right under these Terms and Conditions shall not amount to a waiver of that right and will not prevent that right or any other right or remedy from being exercised or enforced by us.

RoomsNet reserves the right to interpret, apply and communicate these Terms and Conditions. All such interpretations; applications and communications by RoomsNet shall be final and conclusive in each case.

You will not assign, convey, subcontract or delegate your rights, duties or obligations hereunder. RoomsNet expressly reserves the right, in its sole discretion, without any liability whatsoever, to take appropriate legal or remedial action against anyone who, in RoomsNet’s sole discretion, violates these provisions, including without limitation, to removal of any Content posted or displayed by you, to restrict, suspend, terminate your access to all or any part of RNMC at any time, with or without reason and/or prior notice.

21. MEMBER DISPUTES

You are solely responsible for your interactions with other Members. Although RoomsNet reserves the right, but have no obligation, to monitor disputes between you and other Members.

22. INDEMNITY
|
|
You agree that when using RNMC, you will be exposed to Content from a diverse sources, and that RoomsNet is not responsible for the correctness, usefulness, reliability , safety, or intellectual property rights or other proprietary rights of such Content. You also agree that you may be exposed to Content which are inaccurate, unreliable, derogatory or indecent, and you agree to waive, and hereby do irrevocably waive, any rights or remedies in law or equity you may or have against RoomsNet and/or RNMC with respect thereto, and agree to indemnify and hold RoomsNet, its principal, agents, third party accommodation providers/hotels, affiliates, license holders, its respective directors and employees harmless to the fullest extent allowed by law regarding all matters related to your use of RNMC and/or the Site.

23. STORAGE OF DATA

When you use the Site or become a Member, we collect information about you. The information we collect is stored for our purposes only. We respect your personal data and therefore shall protect your privacy, as well as take all rational steps to keep your details safe. We will comply with the Data Protection Act of 1998 and any other data protection statutory requirements applicable to England and Wales which is at present in force. Your information will not be shared with other third parties without your prior consent. Although we do not usually give your details to anyone else, we expressly reserve the right to release any information under our control, including personal data about you, to a relevant person or entity if you breach these Terms and Conditions and/or when required by law, court order, police, other authority or when necessary for the purpose permitted by section 35 of the Data Protection Act 1998. In order to cooperate with legitimate governmental requests, court orders, to protect RoomsNet systems, Members and customers, or to ensure the integrity and operation of RoomsNet business and systems, RoomsNet may access and disclose any information it considers necessary or appropriate, including, without limitation, Content, certain disclosed personal information (such as name, email address, etc.), IP address, traffic information and usage history. The right of RoomsNet right to disclose any such information shall be governed in accordance with RoomsNet Privacy Policy.

24. GENERAL CONDITIONS

RoomsNet reserves the right to change/ amend the RoomsNet Member Club Terms and Conditions or Loyalty Program benefits or reward structure and to terminate the Loyalty Program, or any part thereof, at any time with or without notice, even though such changes or termination may affect the value of Loyalty Discounts already accumulated and / or the right to accumulate Loyalty Discounts or redeem Loyalty Discounts. Roomsnet shall not be liable to Members in any way for any value or benefits or rewards Members may lose as a result of any changes made to the RoomsNet Loyalty Program or termination of the Loyalty Program, or any part thereof.

It is the responsibility of the Member to check the website regularly for any changes to the Terms and Conditions of RoomsNet Loyalty Program. Continued use of the Program by the Member will be deemed as acceptance of the current Terms and Conditions.

Roomsnet reserves the right to interpret, apply and communicate the RoomsNet Loyalty Program Terms and Conditions. All such interpretations; applications and communications by RoomsNet shall be final and conclusive in each case.

Rules, selection, elimination and all decisions in respect of competitions as well as lucky draws are at the sole discretion of RoomsNet.

Except as stated above, you are not granted and nothing on RNMC can be construed as granting any right or license by implication or otherwise under any intellectual property rights or other proprietary rights of RoomsNet or any third party.
